Welcome to the Virtual Asset Service Providers Association (VASPA) website. These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and VASPA (“we,” “our,” or “us”). By accessing or using our website, applying for membership, or participating in our industry programs and initiatives, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not use our website or services.
About VASPA
VASPA is an industry association and non-governmental organization (NGO) dedicated to fostering a safe, innovative, and compliant ecosystem for virtual asset service providers (VASPs) in Africa. Founded in 2024, VASPA is registered as an Incorporated Trustee with the Corporate Affairs Commission in Nigeria: CAC IT: 7906997. VASPA is a membership-based association, comprising individual, corporate, and institutional members across Africa.
Eligibility
By using this website, you represent and warrant that you are at least 18 years of age and possess the legal capacity to enter into these Terms. If you are accessing the website on behalf of a corporate entity, you represent that you have the authority to bind that entity to these Terms.
Use of the Website and Services
You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the website strictly in accordance with these Terms. You agree not to use the website for any unlawful purpose or any purpose prohibited by these Terms.
Prohibited Conduct:

- use the website in any manner that could damage, disable, overburden, or impair any VASPA server or the network(s) connected to any VASPA server;
- attempt to gain unauthorized access to any part of the website, other accounts, computer systems, or networks;
- use any robot, spider, scraper, or other automated means to access the website for any purpose without our express written permission;
- post or transmit any content that is defamatory, obscene, fraudulent, or violates the intellectual property rights of others; or
- engage in any activity that violates applicable Nigerian laws, including but not limited to the Cybercrimes (Prohibition, Prevention, etc.) Act 2015, and other relevant laws and reglations.
Intellectual Property Rights
All content, features, and functionality on the website—including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, policy papers, and software—are the exclusive property of VASPA, its licensors, or other content suppliers and are protected by Nigerian and international copyright, trademark, and intellectual property laws.
You may not modify, copy, distribute, transmit, display, publish, sell, or license any information from this website without the express prior written consent of VASPA.
Membership and Event Participation
While these Terms govern your use of the website, specific programs, event registrations, and VASPA membership are subject to additional agreements, association bylaws, and vetting procedures. In the event of a conflict between these Terms and a specific membership or program agreement, the terms of the specific agreement shall prevail.

Indemnification
You agree to defend, indemnify, and hold harmless VASPA, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the website; (ii) your violation of any term of these Terms; or (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by mutual negotiation, and parties shall use their best endeavors to resolve any dispute through good-faith negotiation between the authorized representatives of the parties.
If a dispute is not resolved within thirty (30) days of written notice by one Party to the other of the existence of the dispute (or such longer period as the Parties may agree in writing), either Party may refer the dispute to mediation administered by the Lagos Multi-Door Courthouse (“LMDC”) under the LMDC Mediation Rules in force at the time of the referral. The mediation shall be conducted by a sole mediator selected and appointed by the LMDC in accordance with its rules. The Parties shall cooperate in good faith throughout the mediation process and shall each bear their own costs of participation. The administrative costs of the LMDC shall be borne equally by the Parties unless otherwise agreed or directed by the mediator. Any settlement reached through mediation shall be reduced to writing, and signed by both Parties, and adopted as consent judgment before an ADR Judge in line with applicable rules.
Nothing in this Article shall prevent either Party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction where necessary to protect its rights pending the resolution of a dispute.
Changes to Terms of Use
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any significant changes by posting the new Terms on the website and updating the “Effective Date” at the top of this document. Your continued use of the website following the posting of any changes constitutes acceptance of those changes.
